Terms of Use

These Beta Terms of Use ("Terms") govern your access to and use of all websites, tools, and services operated by Vibe Ventures LLC, a Massachusetts limited liability company ("Vibe," "we," "us," or "our"), including but not limited to:
· vibe.learnworlds.com — the Beta Accelerator platform ("Platform")
· vibeventurelab.ai — the Vibe Venture Lab website, including the Vibe Commons
· The Founder Code Quiz — hosted on Vibe-operated or third-party pages
· Any other Vibe-operated website, tool, application, or digital property (collectively, "Vibe Sites")
These Terms also govern your participation in the Vibe Venture Lab Beta Accelerator ("Beta Program"), which may include interactions with third-party services as described below.
By creating an account, accessing any Vibe Site, or participating in the Beta Program, you ("you," "Participant," "User," or "Viber") agree to be bound by these Terms. If you do not agree, do not access or use any Vibe Site or the Beta Program.
Participation in the Beta Program is open to individuals who are at least 18 years old and capable of entering into binding legal agreements. By participating, you represent and warrant that you meet these requirements. Vibe reserves the right to verify eligibility and deny or revoke access at its sole discretion.[1]
2. Description of the Beta Program
The Beta Program is a free, pre-release version of Vibe Venture Lab's 8-week AI-for-impact accelerator, offered to a limited number of founding beta testers ("Vibers"). The Beta Program includes interactive sessions, guided projects, an AI Co-Founder experience, access to the Vibe Commons problem discovery tool, and related content and resources. The Beta Program is provided for evaluation, testing, and educational purposes and is not a final commercial product.[2][3]
3. Platform Provider and Third-Party Services
The Beta Program is hosted on LearnWorlds, a third-party learning management system. Vibe is responsible for the accelerator content and participant engagement; LearnWorlds provides the hosting infrastructure and technical platform. Your use of LearnWorlds is additionally subject to LearnWorlds' own Terms and Conditions and Privacy Policy, available at learnworlds.com/terms-of-service.[1][4]
3.2 AI Co-Founder (Perplexity)
The AI Co-Founder experience is delivered through Perplexity AI. Your use of the AI Co-Founder requires a Perplexity account and is subject to Perplexity's Terms of Service and Privacy Policy. Vibe does not control, operate, or guarantee the availability, performance, accuracy, or security of Perplexity's platform.
The Beta Program may direct you to use additional third-party platforms, tools, or services (e.g., ChatGPT, website builders, payment processors). Your use of any third-party service is governed by that service's own terms and policies. Vibe is not responsible or liable for any loss, damage, claim, or issue arising from your use of any third-party platform, even if Vibe recommended or directed you to use it.
Reference to or integration with any third-party service does not constitute an endorsement, warranty, or guarantee by Vibe of that service's reliability, accuracy, security, or suitability for any purpose.
4. Beta Participant Obligations
By participating in the Beta Program, you agree to:
· Provide Feedback: Submit constructive feedback after each assignment as reasonably requested, including suggestions, bug reports, and usability observations.[5][6]
· Share AI Co-Founder Interactions: Share a link to your AI Co-Founder conversation thread with Vibe after each assignment for quality assurance, assessment, and program improvement purposes.
· Make Best Efforts: Make best efforts to complete the full 8-week accelerator within the expected timeframe. While completion is not guaranteed or required, consistent participation and effort are expected.
· Act in Good Faith: Participate honestly, respectfully, and in a manner consistent with Vibe's mission to support impact entrepreneurship.
· Maintain Account Security: Keep your account credentials confidential and notify Vibe immediately of any unauthorized access.[1]
All content provided through the Beta Program — including but not limited to session materials, slides, scripts, videos, the Vibe Commons database, AI Co-Founder prompts and personas, the Founder Code quiz, frameworks, methodologies, graphics, logos, and software — is the exclusive property of Vibe Ventures LLC or its licensors and is protected by applicable intellectual property laws. No rights, licenses, or interests in Vibe's intellectual property are granted to you except the limited license described in Section 5.2.[7][1]
5.2 Limited License to Participants
Vibe grants you a personal, non-exclusive, non-transferable, revocable, royalty-free license to access and use the Beta Program content solely for your personal, non-commercial educational and entrepreneurial development purposes during your participation in the Beta Program. You may not:[7][1]
· Copy, reproduce, distribute, republish, or share any Beta Program content with any third party
· Use any Beta Program content for competitive analysis or to create a competing product or service
· Modify, adapt, or create derivative works from any Beta Program content
· Sell, sublicense, rent, lease, or commercially exploit any Beta Program content
· Scrape, crawl, or use automated tools to extract content from the Platform or Vibe Commons
· Remove, alter, or obscure any copyright, trademark, or proprietary notices
For the avoidance of doubt, Vibe claims no ownership of the business ideas, ventures, products, services, or intellectual property that you independently develop during or after the Beta Program. Your venture is yours.
Any feedback, suggestions, ideas, enhancements, or recommendations you provide to Vibe regarding the Beta Program ("Feedback") become the property of Vibe. You hereby assign to Vibe all right, title, and interest in and to such Feedback, and Vibe is free to use, incorporate, modify, and commercialize Feedback without attribution, compensation, or obligation to you.[5][6]
To the extent you voluntarily share content through the Beta Program (e.g., problem statements, venture descriptions, or other work product shared in community spaces or with Vibe), you grant Vibe a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purposes of operating, promoting, and improving the Beta Program and Vibe Venture Lab. You retain ownership of any original content you create.
You agree not to:
· Impersonate any person or misrepresent your affiliation with any entity
· Use the Beta Program for any unlawful, fraudulent, or harmful purpose
· Attempt to gain unauthorized access to any part of the Platform, other accounts, or connected systems
· Interfere with or disrupt the Platform, servers, or networks
· Upload or transmit viruses, malware, or other harmful code
· Use the Beta Program to harass, abuse, or harm other participants
· Share your account credentials with others or allow others to access the Beta Program through your account
· Use automated systems (bots, scrapers, etc.) to access the Platform or its content
7. No Academic or Professional Certification
The Beta Program is an educational and entrepreneurial development experience. Any badges, certificates of completion, passwords, or similar outputs provided through the Beta Program are for motivational and tracking purposes only. They do not constitute an academic degree, professional certification, or credential of any kind and do not guarantee any level of skill, competence, or business success.[1]
THE BETA PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIBE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:[8][3]
· WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
· WARRANTIES THAT THE BETA PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
· WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI CO-FOUNDER RESPONSES
· WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE BETA PROGRAM, INCLUDING ANY REVENUE OR BUSINESS OUTCOMES
THE BETA PROGRAM MAY CONTAIN BUGS, ERRORS, AND INCOMPLETE FEATURES. YOU ACKNOWLEDGE THAT THE BETA PROGRAM IS A PRE-RELEASE PRODUCT AND ASSUME ALL RISK ASSOCIATED WITH ITS USE.[3]
AI Co-Founder responses are
generated by artificial intelligence and may be inaccurate, incomplete, or
inappropriate. Vibe does not guarantee the quality, accuracy, or suitability of
any AI-generated content. You are solely responsible for evaluating and acting
upon any information received through the Beta Program.
You understand and agree that Vibe does not guarantee that you will earn any specific amount of revenue (including, without limitation, USD $1,000), acquire any customers, or achieve any particular business, financial, or impact outcome through the Beta Program. Any examples of ventures, revenue, “$1K pilots,” or impact outcomes referenced in the Beta Program, on Vibe Sites, or in Vibe communications are illustrative only and do not represent a promise or guarantee of your results. Your success depends on many factors outside Vibe’s control, including your skills, effort, decisions, market conditions, and use of third‑party tools.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIBE VENTURES LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR PARTICIPATION IN THE BETA PROGRAM, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, INCLUDING BUT NOT LIMITED TO:
· LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
· LOSS OF DATA OR CONTENT
· PERSONAL INJURY OR PROPERTY DAMAGE
· DAMAGES ARISING FROM YOUR USE OF THIRD-PARTY PLATFORMS
· DAMAGES ARISING FROM AI CO-FOUNDER INTERACTIONS OR ADVICE
· DAMAGES ARISING FROM RELIANCE ON ANY CONTENT PROVIDED THROUGH THE BETA PROGRAM
VIBE'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE BETA PROGRAM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).[8][3]
THESE LIMITATIONS APPLY EVEN IF VIBE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Vibe Ventures LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:[8]
· Your breach of these Terms
· Your use or misuse of the Beta Program or any third-party platform in connection with the Beta Program
· Your violation of any applicable law, regulation, or third-party right
· Any content you create, share, or distribute during or as a result of the Beta Program
· Any venture, product, or service you develop during or after the Beta Program
Vibe may suspend or terminate your access to the Beta Program at any time, with or without cause, with or without notice, and without liability to you. Grounds for termination include, but are not limited to, violation of these Terms, misuse of content, abusive conduct, or inactivity.[3]
You may stop participating in the Beta Program at any time by ceasing to access the Platform. If you wish to request account deletion, contact us at support@vibeventurelab.ai.
Upon termination, your license to access and use Beta Program content immediately ends. Sections 5 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.
12. Modifications to Terms and Beta Program
Vibe reserves the right to modify these Terms at any time. Material changes will be communicated via the Platform or email. Continued participation in the Beta Program after any such changes constitutes acceptance of the revised Terms. Vibe also reserves the right to modify, suspend, or discontinue any aspect of the Beta Program at any time, with or without notice, and without liability.[2][3]
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Beta Program shall be resolved exclusively in the state or federal courts located in Middlesex County, Massachusetts, and you consent to the personal jurisdiction of such courts.
This section describes how Vibe collects, uses, stores, and protects your personal information when you access any Vibe Site or participate in the Beta Program. By using any Vibe Site, you consent to the data practices described below.
Information You Provide Directly:
· Account registration information (name, email address, password)
· Profile information you choose to add
· Feedback, survey responses, and communications with Vibe
· Assignment submissions, problem statements, venture descriptions, and other work product you share through the Beta Program
· Links to your AI Co-Founder conversation threads shared after each assignment
· Founder Code Quiz responses
· Any content you voluntarily submit through the Vibe Commons or other Vibe Sites
Information Collected Automatically:
· Device information (browser type, operating system, device type)
· Log data (IP address, access times, pages viewed, referring URL)
· Usage data (features used, session duration, interactions with content)
· Cookies and similar tracking technologies as deployed by LearnWorlds and other platform providers (see Section 14.5)
Information from Third Parties:
· Account and usage information from LearnWorlds related to your course progress and engagement
· Vibe does not directly collect data from Perplexity, ChatGPT, or other third-party platforms you use in connection with the Beta Program; however, any AI Co-Founder conversation links you share with Vibe will be accessible to Vibe for review
14.2 How We Use Your Information
Vibe uses the information collected for the following purposes:
· Operating, maintaining, and improving the Beta Program and Vibe Sites
· Assessing assignment completion and delivering program milestones (e.g., passwords, access unlocks)
· Reviewing AI Co-Founder interactions for quality assurance, program improvement, and to refine AI Co-Founder instructions
· Communicating with you about the Beta Program, updates, and related opportunities
· Analyzing usage patterns and feedback to improve future versions of the accelerator
· Generating anonymized and aggregated insights for research, product development, and promotional purposes
· Enforcing these Terms and protecting the rights and safety of Vibe and its participants
14.3 How We Share Your Information
Vibe does not sell your personal information. We may share your information in the following circumstances:
· Service Providers: With LearnWorlds (hosting), email providers, and analytics tools that help us operate the Beta Program, subject to their own privacy policies
· Anonymized Data: Aggregated, de-identified data that cannot reasonably identify you may be used for research, publications, or promotional materials
· Legal Requirements: When required by law, legal process, or to protect the rights, safety, or property of Vibe, its participants, or the public
· Business Transfers: In connection with a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction
· With Your Consent: When you have given explicit permission for a specific use
Vibe will never publicly share your name, venture details, or participation status without your express consent.
Vibe retains your personal information for as long as your account is active or as needed to provide the Beta Program and fulfill the purposes described in these Terms. After termination of your participation, Vibe may retain anonymized and aggregated data indefinitely for research and improvement purposes. You may request deletion of your personal data by contacting support@vibeventurelab.ai; Vibe will comply within 30 days, subject to any legal obligations to retain certain records.
Vibe Sites use cookies and similar technologies primarily through LearnWorlds and any embedded analytics tools. These may include:
· Essential Cookies: Required for site functionality (login sessions, security)
· Analytics Cookies: Used to understand how visitors interact with Vibe Sites (e.g., page views, session duration)
You can manage cookie preferences through your browser settings. Disabling cookies may affect site functionality.
14.6 Third-Party Privacy Practices
Vibe Sites integrate with or direct you to third-party services (LearnWorlds, Perplexity, ChatGPT, website builders, payment processors, etc.). Each third-party service has its own privacy policy governing its collection and use of your data. Vibe is not responsible for the privacy practices of any third-party service. We encourage you to review their privacy policies independently.
The Beta Program and Vibe Sites are not directed to individuals under 18 years of age. Vibe does not knowingly collect personal information from children under 18. If you become aware that a child has provided personal information to Vibe, please contact us and we will take steps to delete such information.
Vibe uses reasonable administrative, technical, and physical safeguards to protect your personal information. However, no method of transmission over the internet or electronic storage is 100% secure, and Vibe cannot guarantee absolute security.
Depending on your jurisdiction, you may have the right to:
· Access the personal information Vibe holds about you
· Request correction of inaccurate information
· Request deletion of your personal information
· Object to or restrict certain processing of your information
· Request a copy of your information in a portable format

14.10 Changes to This Privacy Policy
Vibe may update this Privacy Policy from time to time. Material changes will be communicated via the Platform or email. Continued use of any Vibe Site after changes constitutes acceptance of the updated policy.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vibe regarding the Beta Program and supersede all prior agreements, understandings, and communications.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Vibe's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer your rights under these Terms without Vibe's prior written consent. Vibe may assign its rights and obligations under these Terms without restriction.
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and Vibe. You are an independent participant.
Vibe shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, internet outages, third-party platform failures, or government actions.
